Terms of Service
Applies to: the Gradion Dispact service (web app and mobile apps for iOS and Android).

These Terms of Service ("Terms") govern your use of Gradion Dispact (the "Service"), a workspace messaging product provided by NFQ Asia Pte. Ltd. (Singapore) and NFQ Solutions GmbH (Germany) — together "Gradion", "we", "us". Please read them together with our Privacy Policy, which is incorporated into these Terms by reference.
1. Acceptance of these Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not use the Service.
2. Eligibility
The Service is not directed to children under 13, and you may not use it if you are under 13. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement of a parent, guardian, or your organization.
3. Your account
You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. If your workspace is administered by an organization, that organization may control, suspend, or remove your access.
4. Acceptable use
You agree not to:
- use the Service to violate any law or the rights of others;
- upload or share content that is unlawful, infringing, malicious, or harmful, or that you do not have the right to share;
- distribute malware, attempt to gain unauthorized access to the Service or other accounts, or interfere with or disrupt the Service's integrity or performance;
- reverse engineer, scrape, or resell the Service except as permitted by law; or
- use the Service to send spam or to harass others.
5. Your content
You retain ownership of the messages, files, and other content you create or upload ("Your Content"). You grant Gradion a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely to operate and provide the Service to you and the members of your workspaces. You are responsible for Your Content and for having the rights necessary to share it.
6. Organization-administered workspaces
If you access the Service through an organization that administers your workspace, that organization controls the workspace and its content and may set policies, manage membership, and access or export content in accordance with its own agreements and applicable law. Your use is also subject to that organization's policies. Questions about an organization-administered workspace should be directed to that organization.
7. Third-party services
The Service offers optional integrations — including Sign-in with Google, Slack workspace import, Google Meet video calls, and KLIPY GIF search. When you use an integration, your use of that third party's service is governed by its own terms and privacy policy. We are not responsible for third-party services. See our Privacy Policy for the data each integration receives.
8. Availability and changes to the Service
We work to keep the Service reliable, but we provide it on an "as is" and "as available" basis. We may modify, suspend, or discontinue features from time to time. We are not liable for any unavailability, loss of data, or interruption of the Service to the extent permitted by law.
9. Disclaimers
To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
10. Limitation of liability
To the maximum extent permitted by law, Gradion will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising out of or relating to your use of the Service. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
11. Termination and account deletion
You may stop using the Service at any time and request deletion of your account as described in our Privacy Policy. We or your workspace administrator may suspend or terminate your access if you breach these Terms or to protect the Service and its users. On termination, your right to use the Service ends; deletion of your data is handled as described in the Privacy Policy.
12. Governing law
These Terms are governed by the laws applicable to the Gradion entity that provides your Service: for users contracting with NFQ Asia Pte. Ltd., the laws of Singapore; for users contracting with NFQ Solutions GmbH, the laws of Germany — in each case without regard to conflict-of-laws rules, and subject to any mandatory consumer-protection rights in your country of residence.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you within the Service. Your continued use after an update constitutes acceptance of the revised Terms.
